TERMS AND CONDITIONS

Scope and Precedence

All sales are governed by Company quotations and these Terms and Conditions. Any conflicting Customer terms apply only if agreed in writing by an authorized representative of Dufrane Technologies LLC.

Pricing and Payment

Prices are in U.S. dollars and exclude taxes, duties, and freight unless stated otherwise. Payment terms are as stated on the quotation or invoice and are subject to agreement between Dufrane Technologies LLC and the Customer. Late payments may be subject to finance charges.

Delivery and Risk of Loss

Unless stated otherwise, shipments are FOB Dufrane Technologies LLC, Winsted, CT. Risk of loss transfers to the Customer when the carrier takes possession of the goods.

Inspection and Acceptance

The Customer must inspect products within 10 business days of receipt and notify the Company in writing of any issues. If no notice is received within this period, products are deemed accepted.

Changes and Cancellations

Any change to quantity, design, material, or delivery is subject to review and may result in price or schedule changes. Canceled orders are subject to charges for work performed, material committed, and reasonable overhead and profit.

Quality Management System (QMS) and Documentation

Dufrane Technologies LLC maintains a Quality Management System (QMS). Certificates of Conformance, material certifications, special process certifications, First Article Inspection Reports, and other documents will be supplied only when specified on the purchase order or quotation and may incur additional charges.

Export and Regulatory Compliance

The Customer and the Company will comply with all applicable export control and regulatory requirements. The Customer must identify export controlled data or parts and provide any required handling instructions.

Limitation of Liability

To the maximum extent allowed by law, the Company is not liable for indirect, incidental, or consequential damages, including loss of profit or loss of use. The Company’s total liability for any claim is limited to the amount paid by the Customer for the specific products that give rise to the claim.

Governing Law

These Terms are governed by the laws of the State of Connecticut. Any dispute will be handled in the state or federal courts serving Winsted, CT, unless otherwise agreed in writing.
